MARKETING WITHIN THE OFFERING PATH

The exemption changes what public marketing can do.

Regulatory facts reviewed August 26, 2026. Always confirm the current rules with securities counsel.

RULE 506(C)

General solicitation can be permitted

Rule 506(c) can allow broad solicitation when every purchaser is accredited, the issuer takes reasonable steps to verify accredited status, and the offering satisfies the other applicable conditions.

RULE 506(B)

Public solicitation is generally prohibited

Rule 506(b) generally does not permit general solicitation. A public-facing 506(c) acquisition playbook should not be applied to a 506(b) offering.

COUNSEL-LED COMPLIANCE

Marketing supports—not replaces—legal review

RaiseLaunch builds marketing and campaign infrastructure. Securities counsel should approve offering claims, solicitation strategy, investor qualification, and required disclosures.

REG D MARKETING FAQ

Straight answers.

01What does a Reg D marketing agency do?+

A Reg D marketing agency builds the investor-facing story and the campaign system behind it: positioning, raise materials, website and funnel, creative, acquisition, CRM, nurture, attribution, and ongoing optimization. RaiseLaunch provides marketing support, not securities placement or legal advice.

02Can a Rule 506(c) offering be advertised publicly?+

Rule 506(c) can permit general solicitation if all purchasers are accredited investors, the issuer takes reasonable steps to verify that status, and the offering meets the other applicable requirements. Securities counsel should approve the specific campaign.

03Can RaiseLaunch publicly market a Rule 506(b) offering?+

Rule 506(b) generally prohibits general solicitation. We can support private campaign infrastructure and relationship-based communications within a counsel-approved plan, but we do not treat a 506(b) offering like a public 506(c) campaign.

04Does RaiseLaunch introduce investors or guarantee capital?+

No. RaiseLaunch is not a broker-dealer, placement agent, or law firm. We provide marketing, infrastructure, and campaign support, and we do not guarantee investment outcomes.

05How is a Reg D engagement scoped?+

Scope depends on the offering, target, timeline, existing assets, internal team, counsel-approved solicitation path, and the campaign constraints that need to be removed.
